BePM makes this Website available to the public for the purpose of providing useful information about the activities and services offered by the company and to allow subscription to the programs offered on the Website (hereinafter, the “Program(s)”).

 

 

 

3. User Status and Obligation to Comply with these Terms and Conditions

 

A user of the Website (hereinafter, the “User” or the “Users”) is any person who accesses, browses, or otherwise interacts with the Website: (i) a student enrolled in any of the Programs, (ii) a User registered on the Website who is not a student because they have not subscribed to any Program, or (iii) a User who simply accesses the Website. The first two Users mentioned (i) and (ii) will also be identified in these terms and conditions as registered users (hereinafter, the “Registered User(s)”).

 

Being a User implies acceptance of these terms and conditions (hereinafter, the “Terms and Conditions”) which are mandatory for the User and for BePM and expressly regulate the contractual relationships arising between BePM and third parties who contract products or services offered on the Website.

 

To use this Website and/or subscribe to the Programs, the User must first carefully read these Terms and Conditions, as they must be fully complied with. If the User does not understand these Terms and Conditions, they must immediately leave this Website and refrain from subscribing to any Program.

 

In this regard, BePM informs Users of the following:

 

BePM will record, by technical means, the date and time the User accepts these Terms and Conditions, along with their IP address and other related information (such as IP address, browser and its version, location (via IP address), language (via browser and its settings), and operating system (via browser)). This acceptance by the User is equivalent to their signature on these Terms and Conditions, which constitute the contract governing their relationship with BePM and any other third parties with whom the User may contract through the Website.

The Terms and Conditions are written exclusively in Spanish and must be accepted in this language. BePM is not responsible for any version in any language other than Spanish.

 

4. Conditions for subscribing to the Programs offered on the Website. User rights and obligations

 

4.1. Basic characteristics of the Programs, minimum age to subscribe and price

 

The educational programs created by BePM, accessible online, consist of (A) theoretical materials, analyses, interviews, and value-added documents on companies and businesses, as well as live online classes that allow BePM instructors to interact with their students in order to develop and reinforce the concepts acquired through the theoretical materials of each program. The live classes include discussions of specific real-world cases and allow for the posing and resolution of doubts and questions; or (B) audiovisual materials containing theoretical elements, interviews, and value-added documents on various specialized topics related to the business world, presented in the form of specialized certifications.

 

In addition, the Programs include other types of services, such as online seminars or specific educational webinars, which may or may not be related to the content of the Program; virtual or face-to-face events; participation in directed forums; real-time question resolution and/or others that BePM determines at any given time.

 

Subscription to the Programs must be carried out according to the instructions mentioned in these Terms and Conditions, as well as any other specific conditions that are indicated on screen during navigation or in any other way, so that the Registered User declares to know and expressly accept said specific conditions as necessary and mandatory to access the services and/or Programs offered through the Website.

 

In this regard, BePM informs the User that Priscilla Medina is an independent self-employed individual, not affiliated with any university or public or private educational institution, and that the certificates she issues are strictly private, although they may be eligible for certain incentives, such as those related to subsidized training in Spain. This means that the Programs do not have, among others, AACSB, AMBA, EQUIS, or other similar certifications. Therefore, the certificate that BePM issues upon completion of the various Programs is private and is not issued or recognized by any public or private entity other than BePM itself. Consequently, obtaining said certificate does not imply recognition or positive evaluation of the Program completed by the User by any third party, including BePM collaborators who may have participated in the Programs.

 

Users wishing to subscribe to one or more Programs must (a) be over 18 years of age or (b) have express authorization from their legal representatives to subscribe and participate in the Program in question. At the time of purchase, the User expressly declares and warrants that they have full legal capacity to contract the services provided by BePM or, if any type of authorization from a third party is required, that they possess and can demonstrate such authorization. In this regard, BePM may limit User registration until proof of age over 18 is provided or express parental authorization is demonstrated.

 

The Programs, along with their features and price, will appear on explanatory screens on the Website. The price shown on screen will be in euros, dollars, or the local currency of the country from which the User accesses the Website, and will include applicable indirect taxes, unless expressly stated otherwise. This price will always be the one in effect at the time the User makes the purchase, except in the case of typographical errors.

 

BePM regularly runs promotional campaigns that may include discounts on the price of its Programs, for example, through coupons or other discounts. At checkout, coupon codes, discount codes, or any other method established by BePM can be entered to reduce the order price by the predetermined amount.

 

 

 

4.2. Program Subscription Procedure. Payment Methods and Options. Financing Options

 

To subscribe to the Programs, the User must select the desired Program and click the “Purchase” or “Enroll in the Program” button, or similar expression, and complete the required information, after which they must pay the Program price. For these purposes, the User declares that by clicking the aforementioned button, they expressly accept all the conditions of the selected Program and agree to comply with them. To this end, the User should first review the characteristics displayed on the Website for the specific Program, including the options they have chosen (payment in installments or not, access limited to a specified time or unlimited), price, and applicable taxes, if any, to assess whether the Program meets their needs.

 

If the User has selected the installment payment option, they may pay the price of the selected Program in installments, under the terms and conditions displayed on the screen. In these cases, the User may also obtain financing from third parties to make the payments. Among other things, the information displayed to the User will include: (i) the amounts and payment terms; (ii) the duration of the financing; (iii) the interest on the financing that the User will have to pay; (iv) the entity responsible for the financing, with which the User will contract directly; (v) the validity period of the financing terms; (vi) the minimum and maximum amounts that the User can finance; and (vi) the other specific terms and conditions of the financing.

 

If the User chooses financing from a provider other than those advertised on the Website, the User must enter into a separate contract with their chosen financial institution. In any case, the User is fully aware and accepts that they are freely entering into this financing contract with the third-party entity (whether advertised on the Website or not) and that BePM will not be liable for any matter arising from or related to said financing.

 

In any case, if the User chooses to finance the payment of the price of any Programs, (i) they must have paid all the corresponding financing installments in order to access the Program completion certificate, regardless of the entity that provided the financing; and (ii) and withdraws from the Program in question before paying all the corresponding financing installments, they will be obliged to pay all the outstanding installments, since the service provided by BePM relating to the Programs – subject to the statutory withdrawal periods – will be considered fully executed.

 

BePM will then request that the User enter certain data on the Website by completing an electronic form. The User must provide all data marked as mandatory with an asterisk (*). BePM’s Privacy Policy outlines how the personal data of Website Users will be processed.

 

The User will see the Program subscription terms and conditions on screen and must accept them to proceed with the enrollment of the educational services. The User will then receive a confirmation message from BePM at the email address provided in the registration form. In any case, until the User pays the Program fee (or the first installment in the case of payment in installments), they will not acquire student status and will not be able to access the Program and, therefore, any content offered by the Website platform to its students.

Payment for the Program price can be made by credit or debit card, or by any other means of payment that may be enabled on the Website at any given time, which will be managed by third parties unrelated to BePM and, therefore, will require the User to leave the Website to enter the environments controlled by those agents in order to make the payment.

 

To proceed with payment, the User will access the environment controlled by the corresponding payment service provider (an environment separate from the Website and not controlled by BePM), where the purchase amount and reference will be displayed on the screen. The User will then be asked to provide information such as the following (as required by the payment service provider): a) Card number; b) Expiry date; c) CVV (three-digit security code printed on the card). Since payment is made in an environment separate from the Website, the User acknowledges that any issues or problems related to this process must be addressed to the payment service provider, in accordance with its terms and conditions, and not to BePM, which has no control over the payment tool and does not process the data that Users provide to make payments.

 

If the registered user chooses the “installment payment” option and fails to make the agreed-upon regular payments, BePM will notify the user of the non-payment, granting a period for rectifying the situation. If the payment is not rectified within this timeframe, BePM will suspend access to the Program until the outstanding payment is made. In any case, BePM reserves the right to claim any amounts owed by the user.

 

 

 

5. General characteristics of the Programs and scope of BePM’s responsibility. User’s right of withdrawal

 

5.1. Characteristics

 

The Website is an online training platform for individuals interested in the business world, offering comprehensive training programs in this area from a highly practical perspective. The programs consist of structured training content in digital format (video, audio, downloadable digital resources, and may also include other features such as webinars or online seminars, virtual and in-person events, forum participation, etc.), which the User can access upon payment of the fee. The User will have access to the private training area, with the available materials, for the period specified on each program’s sales page.

 

Notwithstanding the foregoing, the duration of the programs may be reduced or extended according to the specific purchase conditions of each program. The User acknowledges and accepts that any modification to the program duration will not give rise to any claims, compensation, or indemnification by BePM.

 

5.2 Scope of BePM’s responsibility for the Programs and the rest of the Website elements

 

BePM will provide the services with the greatest possible efficiency, given the currently available resources and technologies. However, by accepting these Terms and Conditions, the User expressly acknowledges that BePM (i) cannot fully guarantee the reliability, continuity, usefulness, absence of errors and/or malicious software, or accuracy of all content and/or services offered through the Website; (ii) conducts periodic reviews of the Website, but cannot fully guarantee the accuracy and updating of all its elements at all times. If the User detects, during the Program access period or within 24 months of the Program’s opening, any issue (such as missing documentation, content, or syllabus compared to what is advertised on the Website), they may send screenshots or any other record of the issue to info@bepm.academy so that BePM can advise the User on how to proceed, after evaluating the specific circumstances of the case.

Consequently, BePM does not guarantee or assume responsibility for: (i) the continuity of the Website’s content; (ii) the absence of harmful components on the Website or the server that provides it; (iii) the invulnerability of the Website and/or the impenetrability of the security measures adopted; (iv) any damages or losses that may be caused to oneself or to a third party by any person who violates the conditions, rules and instructions that BePM establishes on the Website or through the breach of the Website’s security systems.

Notwithstanding the foregoing, BePM declares that it has taken all necessary measures, within its capabilities and the state of the art, to ensure the operation of the Website and to prevent the existence and transmission of harmful components.

BePM will not be responsible for the accuracy, completeness, or timeliness of information published on the Website originating from external sources (external news, user opinions, third-party or third-party reviews of the Programs, other websites accessible through links on the Website, etc.). BePM will not assume liability for any potential damages that may arise from the use of such information. Under no circumstances will the aforementioned content, opinions, comments, and/or links be considered as a recommendation, sponsorship, promotion, or advertising by BePM.

BePM will not be liable for circumstances arising from causes beyond its control, including but not limited to: force majeure, internet access problems, technological problems beyond the diligent and reasonable management of the Website owner, actions or omissions of third parties, any circumstance related to the contracting or not of the Programs by the Website Users, etc. In all the aforementioned cases, beyond the control and due diligence of BePM, BePM will not be liable to compensate Users for damages or losses, to the extent permitted by applicable law.

The failure of BePM to exercise or enforce any right or provision contained in these Terms and Conditions shall not constitute a waiver of such right or provision, unless acknowledged and agreed to in writing by BePM.

 

5.3 Right of withdrawal

 

The User is obligated to pay the full price of the Program, regardless of the payment method (single payment or installments). However, BePM informs the User that they may withdraw from the Program purchase and receive a refund within 15 calendar days from the date of purchase (including the first day), provided they have not completed more than 15% of the total Program purchased. Therefore, if the student has completed more than 15% of the classes, for the purposes of the right of withdrawal, the service provided by BePM will be considered fully rendered. Users wishing to exercise this right must contact BePM before the fifteenth day of access to the Program has elapsed, via the following email address: info@bepm.academy. If, during the first 15 days of the Program, (i) the User does not notify BePM, via email, of their intention to withdraw from the Program; or (ii) has completed more than 15% of the total cost of the Program purchased, they must pay the full price (regardless of the payment method chosen) and, therefore, will not be entitled to a refund of any payments made to date. The period specified in this Clause may be extended in accordance with any temporary offers and promotions published by BePM and expressly notified to the student. In this regard, the specific conditions of each promotion will be taken into account when exercising the right of withdrawal.

 

6. BePM Obligations

 

BePM undertakes to fulfill the following obligations:

 

To make available to the User on the Website the necessary information relating to the Programs.

 

Send the User, to the email address indicated in the registration form, a confirmation that shows that BePM has received the request to start the Program, as well as its terms and conditions.

 

Once payment has been made, BePM is obliged to make the Program material or access keys available to the User at the email address provided.

 

During the BePM Program, the User may be given access to additional services such as webinars or online seminars, virtual and in-person events, participation in directed forums; real-time resolution of doubts and/or others that BePM may determine at any given time.

 

All shipments of keys or materials about the Programs are subject to payment of the price and technical availability.

 

To employ all the attention and professionalism that can be considered reasonable for the provision of the services and programs it offers.

 

7. User Responsibilities

 

The User shall be responsible and expressly undertakes to face the consequences of:

 

All acts that contravene the provisions of these Terms and Conditions, the law, morality, generally accepted customs and public order.

 

Any action you take that differs from what BePM designates in its instructions or directions regarding the use of the Website and the Program.

 

The certainty, accuracy, validity and currentness of the data with which you fill in each of the forms that BePM presents on the Website.

 

Any direct or indirect damages that the User may suffer if the User lost, disclosed, neglected or in any way allowed a third party to know their personal data necessary for registration on the Website or for subscription or access to a Program.

 

Using the Website in a way that may cause damage, interruptions, inefficiencies or defects in its operation.

 

The proper safekeeping of your passwords and credentials, which you may not share with any other person, at any time.

 

Using the Website for the transmission, installation or publication of any virus, malicious code or other harmful or non-harmful programs or files.

 

Using the Website to collect personal data from other users is expressly prohibited by BePM.

 

Altering or modifying, in whole or in part, the Website, circumventing, disabling or manipulating in any other way its functions or services.

 

Transmitting, disclosing, sending, or disseminating information, data, content, messages, graphics, drawings, sound and/or image files, photographs, recordings, software, and in general, any obscene, offensive, vulgar material, or material that incites criminal, denigrating, defamatory, slanderous, violent, or generally unlawful acts, or acts contrary to morality, generally accepted good customs, or public order, whether or not it discredits, slanders, contains racist or xenophobic comments, disrespects, or goes against morality, generally accepted customs, and/or public order in relation to any natural or legal person, is prohibited. In this regard, BePM reserves the right, at its sole discretion, to cancel access to any Program subscribed to by the offending User and/or expel the User from any social network or BePM community in which they may participate. In that case, the User expressly declares that they are aware that they will not be entitled to a refund of the Program price or any type of compensation, without prejudice to any other actions that BePM may take for such actions.

 

Accessing, or attempting to access, without authorization any section of the Website, other systems or networks connected to the Website, BePM’s servers, or the services offered through the Website, by means of hacking or spoofing, password mining or any other illegitimate means (i.e., by any means other than those specifically indicated by BePM for this purpose).

 

To breach, or attempt to breach, the security or authentication measures of the Website or any network connected to it, or the security or protection measures inherent in the content offered on the Website.

 

Reproducing, copying, distributing, allowing public access through any means of public communication, transforming or modifying the content accessible on the Website or in the Programs is prohibited unless authorized by the rights holder or legally permitted.

 

Infringing intellectual or industrial property rights or rights over any other intangibles (including trade secrets, domain names, etc.) belonging to BePM or third parties; for example, by sharing with third parties, transforming or exploiting in any way the contents of the Programs without prior and express authorization from BePM.

The hiring processes and applications for jobs to which the User applies, without the completion of the Programs implying any guarantee of the User’s hiring.

 

 

 

In all the aforementioned cases, which are beyond BePM’s control, BePM will not be liable to the User for any damages, as the User expressly and exclusively assumes full responsibility for such actions. Conversely, the User will be liable for any and all damages of any kind that may arise.

 

 

 

BePM may suffer as a consequence of the User’s failure to comply with any of the obligations assumed.

 

BePM will not be liable for any damages or losses that the misuse of the Website and its content may cause to the User or a third party, for reasons not attributable to BePM. In any case, the liability that the User may demand from BePM will be limited to the price of the Program contracted by the User. In any case, the User expressly acknowledges that:

 

BePM reserves the right to remove any content that may damage its image, cause it commercial harm, or offend the dignity of community members or other people.

 

BePM reserves the right to interrupt access to the Website, as well as the provision of any or all of its services, at any time and without prior notice, whether for technical, security, control, maintenance reasons, or for any other justifiable cause. Consequently, BePM does not guarantee the availability or continuity of the Website or its Programs or content, and therefore, its use is at the Users’ own risk.

 

BePM is not liable for any damages of any kind that may arise from the availability and technical continuity of the Website’s operation. In any case, BePM will take all necessary steps to restore its services in the event of technical problems.

8. Intellectual and industrial property and other rights over intangible assets owned by BePM or of which BePM is a legitimate licensee

 

 

 

8.1. Rights, authorizations and licenses in favor of BePM

 

All content displayed on the Website, and in particular, videos, designs, drawings, texts, graphics, logos, icons, buttons, software, trade names, trademarks or any other signs capable of generating intellectual property rights, industrial rights, image rights or any other rights over intangible assets, are owned by BePM, or by third parties with whom an agreement has been reached for their legitimate exploitation.

 

Under no circumstances shall access, browsing, and use of the Website and/or participation in the Program by a User be construed as a waiver, transfer, license, or assignment, in whole or in part, of said rights by BePM. If the user becomes aware of any illicit, illegal, or unlawful content, a security breach, or content that may infringe intellectual property rights, industrial property rights, or any other rights, they must immediately notify BePM by writing to info@bepm.academy, so that BePM can take effective action and adopt the appropriate measures as soon as possible.

In this regard, the User hereby grants a free, non-exclusive, worldwide, and perpetual license to BePM and its affiliates to use, reproduce, distribute, publicly communicate (in all its forms), transform, and otherwise exploit such copyrighted works, performances, and/or any other intangible assets uploaded to the Website, in any medium, format, and/or modality, and for any purpose.

 

BePM appreciates the User’s comments and suggestions. In this regard, the User authorizes BePM to publish, disseminate, reproduce, distribute, transmit, and include in any type of presentation, brochure, website, etc., the testimonials the User provides on any social network or through other means, whether spontaneously or at BePM’s request. The User expressly authorizes BePM, on a non-exclusive, royalty-free, worldwide, and time-free basis, to use said User comments and/or testimonials for any purpose (including commercial), including any photographs, images, text, and/or videos that form part of them, including in the User’s profile, as well as the intellectual property, industrial property, and/or image rights related to the User and their comments and/or testimonials.

Should the User find links to other websites on the Website through various buttons, links, banners, etc., those websites will always be managed by third parties. BePM has neither the authority nor the human or technical resources to know, control, or approve all the information, content, or services provided by other websites that may be linked to from the Website. Consequently, BePM cannot assume any responsibility for any aspect related to the website to which a link may be established from the Website; specifically, including but not limited to, its operation, access, data, information, files, the quality and reliability of its products and services, its own links, and/or any of its content in general.

Activating and using these applications may require user identification and authentication (login/password) on the corresponding platforms, which are completely external to the Website and beyond BePM’s control. By accessing these external networks, the User enters an environment not controlled by BePM, and therefore BePM assumes no responsibility for the security settings of these environments or for the processing of the User’s personal data within them.

 

Regardless of the links established by BePM, if any User, entity or website wishes to establish any type of link to the Website, they must comply with the following stipulations:

 

The link may only direct to the main page or home page of the Website, unless expressly authorized in writing by BePM.

 

The link must be absolute and complete, meaning it must take the user, with a single click, directly to the .com address and must fully occupy the entire screen of the Website’s homepage. Under no circumstances, unless expressly authorized in writing by BePM, may the linking website reproduce the Website in any way, include it as part of its own website or within one of its frames, or create a browser window over any of the Website’s pages.

 

The page establishing the link may not state in any way that BePM has authorized such a link, unless BePM has previously done so expressly and in writing. If the entity linking from its page to the website wishes to include on its website the trademark, name, trade name, label, logo, slogan, or any other identifying element of BePM and/or the Website, it must first obtain express written authorization.

 

BePM does not authorize the establishment of a link to the Website from those web pages that contain illicit, illegal, degrading, obscene materials, information or content, and in general, that contravene morality, public order or generally accepted social norms.

 

BePM does not have the authority or the human and technical resources to know, control, or approve all the information, content, or services provided by other websites that have established links to the Website, and therefore cannot be held responsible for such circumstances.

 

BePM assumes no responsibility for any aspect related to the website that establishes that link to the Website, specifically, by way of example and not limitation, regarding its operation, access, data, information, files, quality and reliability of its products and services, its own links and/or any of its content, in general.

 

10. Duration and modification

 

These Terms and Conditions remain in effect for as long as they are displayed, until they are modified in whole or in part. BePM will notify Users of any modifications to these Terms and Conditions at least 15 days prior to their effective date.

 

Acceptance of the subscription to the Programs will be governed by the Terms and Conditions published at that time on the Website and by the particular conditions of each Program, which each User will view and accept on screen.

 

11. Disclaimer

 

THE PROGRAMS ARE NOT RECOGNIZED BY ANY INSTITUTION OR ENTITY OTHER THAN BePM. BePM DOES NOT GUARANTEE THAT COMPLETION OF THEM WILL LEAD TO AN INCREASE IN THE USER’S EMPLOYMENT OPPORTUNITIES, SALARY INCREASES, OR OTHER PROFESSIONAL ADVANCEMENTS, NOR THAT THE PROGRAMS OR THE PROVISION OF THEIR CONTENT WILL BE UNINTERRUPTED AND INDEFINITE, OR THAT PARTICIPATION IN THE PROGRAMS WILL NOT CAUSE ANY KIND OF REPUTATION FOR THE USER. EXCEPT AS STATED HEREIN AND TO THE EXTENT PERMITTED BY LAW, ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF THE PROGRAMS, QUALITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED BY BePM. THEREFORE, NEITHER BePM NOR ANY OF ITS EMPLOYEES, PARTNERS, COLLABORATORS OR INTERVIEWEES WILL BE LIABLE FOR ANY DAMAGE, LOSS OR INCIDENT, WHETHER DIRECT, INDIRECT, OR FOR LOSS OF OPPORTUNITIES, PROFITS, CONTRACTS, LOSS OF DATA, COST OF RECOVERING SUCH DATA, OR FOR THE LACK OF ACCURACY, USEFULNESS OR INCORRECTNESS OF THE INFORMATION AND/OR CONTENT RECEIVED BY THE USER.

 

12. Privacy Policy.

 

Any personal data that Users provide during the use of the Website will be treated in accordance with our Privacy Policy, which is incorporated by reference and expressly accepted by the User, as part of the Terms and Conditions that they agree to comply with.

 

13. Applicable law and jurisdiction.

 

The contracting of any service and/or Program through the Website will be governed by Spanish legislation, which will apply to matters not covered in these Terms and Conditions regarding interpretation, validity and execution.

 

In the event of any type of disagreement or claim between the parties, in relation to the performance or content of these Terms and Conditions, the parties will negotiate in good faith to try to resolve such disagreement or claim within a maximum period of one month, counted from the date on which either of them formally notifies the other of the disagreement that has arisen, or notifies the claim.

 

However, in the event that the disagreement or claim is not resolved within the maximum period indicated and only in cases in which the regulations provide for the possibility of the parties to submit to a jurisdiction, BePM and the User, with express waiver of any jurisdiction that may correspond to them, submit the decision of the matter raised to the Courts and Tribunals of the city of Madrid (Spain).
